Avocent to acquire OSA Technologies
OSA Technologies has signed a definitive acquisition agreement with Avocent Corp.

OSA Technologies has signed a definitive acquisition agreement with Avocent Corp for approximately $100 million in cash and stock, plus the assumption of liabilities and employee stock options. The purchase price consists of approximately $55 million in cash and Avocent stock valued at approximately $45 million. The transaction is expected to close during the second quarter.
OSA will continue to operate as a wholly owned subsidiary of Avocent.
OSA's existing management team and employee base is expected to remain with the combined company.
OSA estimates that 30% of Intel-processor-based servers shipped in 2003 were IPMI capable, and expects the penetration level to more than double by the end of 2004 as more server vendors adopt the standards-based management interface.

In addition, we have very complementary sales and distribution relationships that should broaden our collective markets".
